This End User Licence Agreement ("Agreement") is a legal agreement between you, the business or individual installing or using the software ("Licensee"), and Two Tones Digital ("Licensor"), a business based in Cape Town, Western Cape, South Africa.
By installing or using Renter Pro, you agree to be bound by this Agreement. If you do not agree, do not install or use the software.
1. Trial period
Renter Pro may be used free of charge for a period of 30 days from the date of first installation ("Trial Period"). At the end of the Trial Period, the software requires a valid activation key to continue. No data is deleted on expiry — the software enters a restricted mode until a key is entered.
The trial licence is granted for evaluation purposes only. All other terms of this Agreement apply during the Trial Period.
2. Grant of licence
Licensor grants you a non-exclusive, non-transferable, limited licence to install and use Renter Pro on a single computer system operated by a single business entity. Use of the software across multiple business entities or locations requires a separate licence for each.
3. Permitted use
Under this Agreement you may:
- Install and use Renter Pro for your own internal business operations
- Make a reasonable number of backup copies for archival purposes
4. Restrictions
You may not:
- Copy, redistribute, or resell the software or your licence key
- Sublicence, rent, lease, or lend the software to any third party
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software
- Remove, alter, or obscure any proprietary notices or branding within the software
- Use the software to provide data processing or management services to third parties (bureau use) without prior written consent from Licensor
5. Intellectual property
Renter Pro, including all source code, design, documentation, and associated materials, is and remains the sole intellectual property of Two Tones Digital. This Agreement does not transfer any ownership rights to you. All rights not expressly granted are reserved by Licensor.
6. Licence key
Your licence is activated via a unique licence key issued to you by Licensor. You must keep your licence key confidential and must not share or transfer it without Licensor's prior written consent. Licensor may deactivate keys found to be in unauthorised use.
7. Updates, support, and renewal
Your initial purchase includes 12 months of bug fixes, software updates, and developer support from the date of purchase ("Covered Period"). After the Covered Period, the software continues to function without interruption, but access to further updates, new features, and bug fixes requires a paid annual renewal.
Annual renewal is available at the current published rate (currently R2,500 per year) or via a monthly payment plan. Renewal is optional — the software does not stop working if you choose not to renew.
Licensor may provide updates at its discretion. Updates released during your Covered Period or active renewal period are subject to this Agreement.
8. No warranty
The software is provided "as is" without warranty of any kind. To the maximum extent permitted by applicable law, Licensor expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not warrant that the software will be error-free or uninterrupted.
Nothing in this Agreement excludes or limits any rights you have under the Consumer Protection Act 68 of 2008 (South Africa) that cannot lawfully be excluded.
9. Limitation of liability
To the maximum extent permitted by applicable law, Licensor's total liability for any claim arising under or related to this Agreement is limited to the total fees paid by you for the licence in the twelve (12) months preceding the claim.
In no event will Licensor be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of business data, loss of revenue, or loss of business opportunity, even if Licensor has been advised of the possibility of such damages.
10. Termination
This Agreement takes effect on the date you first install or use the software and continues until terminated.
- By you: You may terminate this Agreement at any time by uninstalling the software and destroying all copies.
- By Licensor for breach: This Agreement terminates automatically and without notice if you breach any of its terms. On termination for breach, you must immediately cease use of and destroy all copies of the software.
- By Licensor without cause: Licensor may terminate this Agreement with 30 days' written notice. In this case, Licensor will provide a pro-rata refund of any prepaid unused licence fees where required by the Consumer Protection Act 68 of 2008.
11. Governing law
This Agreement is governed by the laws of the Republic of South Africa. The parties submit to the exclusive jurisdiction of the courts of the Western Cape Division, High Court of South Africa, for any dispute arising under this Agreement.
12. Entire agreement
This Agreement constitutes the entire agreement between you and Two Tones Digital regarding Renter Pro and supersedes all prior understandings, representations, or agreements relating to the software.
